清晨，战斗又打响了，周冠忠忙着指挥部队战斗，部队伤亡惨重，周冠忠让参谋赶快呼叫援军，却没有人回应。日军截获了周冠忠请求支援的情报，得知周冠忠本人就在山谷里，于是全力攻打山谷。周冠忠的部队誓死抵抗到底，打得只剩下了几个连的兵力，大家要掩护周冠忠撤退。周冠忠坚决不肯。又一轮厮杀过后，周冠忠的部队所剩无几，周冠忠却决心血战到底，即使赢不了也要打出志气来，他命令文职人员撤退，只身带着警卫兵准备迎战敌人，其他人誓死不离开。周冠忠命令李参谋活着撤离向上级报告，李参谋不肯离去，被周冠忠用枪逼走了。周冠忠带着人数不多的又冲了上去和日军厮杀，战死疆场。金营长得到周冠忠战死的消息，悲痛欲绝对，立刻下令带领部队去把周冠忠的尸身抢回来。日军长官把遗体抬到20里外的日军司令部，请师团参谋长河田亲自核验。河田确定眼前这位将军正是周冠忠，下令把周冠忠的遗体处理干净，赶制一口棺材，并准备把他的遗体带走。周冠忠前一晚借宿的农家的主人周大保哭着为周冠忠做棺材。金营长带着连生等人乔装赶到。见到周大保，打听清楚了情况，在周大保的帮助下，抢回了周冠忠的遗体。由于要紧急突围，上级命令将周冠忠遗体就地掩埋，因为害怕日本军方破坏，连墓碑也不能立，连生只好在作战地图上标示了位置，带着冠忠的衣冠回重庆。顾玉秀因为悲伤卧床不起，连生将衣冠和一封家书交给她，顾玉秀看到儿子的血和信，哭了起来，她从床上坐了起来，换上旗袍，精心梳洗打扮，走出了家门，身后，周家的人跟了一排。一家人沿着夜色的石板路，走下台阶，走到江边，对着浩浩江水，朗朗明月，顾玉秀跪了下去。郭富才急忙上前扶顾玉秀，劝她自古只有儿女跪父亲，没有父母跪儿女的，顾玉秀却说，她一定要跪，她的儿子是国家的忠良，民族的骄傲，她要跪。她身后，周家人齐刷刷跪下去了。嘉陵江呜咽，为冠忠，为周家人，也为这座灾难中的城市。项南方代表南方局和八路军办事处到周家慰问，并带来了冠杰的慰问电报。
